BIOGRAPHY OF AHPALY CORADIN, ESQ.



Ahpaly Coradin, Esq. is both an attorney and a businessman. Mr. Coradin has extensive experience in corporate law, international transactions and real estate. He has practiced law in New York, Japan, France and Miami. He has represented corporate clients from five continents. He devoted part of his career to the defense of Haitian refugees as an international lawyer and advocate. In addition, as CEO of Coradin Developments, a real estate development company, Mr. Coradin brings “real world” business acumen to his legal representation.

·    Represents an investment group in New York whose mission is industrial, infrastructure and tourism development in the Republic of Haiti with over $400M in earmarked investments.

·    Represents Tokyo Stock Exchange-traded Japanese internet service provider in corporate dissolutions of Florida subsidiaries.

·    Represented NYSE-traded Brazilian telecom in joint venture with consortium of the five Andean Pact countries for the construction of a $100M+ satellite by a French multinational. 

·    Represented Japanese automaker in drive shaft manufacturing joint venture with French automaker.

·    Compliance counsel for Latin American financial institutions regarding the US Bank Secrecy Act and the USA PATRIOT Act, including enhanced anti-money laundering compliance programs, due diligence, information sharing, and correspondent bank certification.

·    Advised Swiss investor on negotiating worldwide distribution rights for a solar powered water filtration system.  

·    Negotiated license agreement for Florida book dealer to sell merchandise on Latin website.

·    Represented multiple founders in forming corporations, limited liability companies, and partnerships in various industries.

 Corporate Finance:

·    Represents New York investment group in project financing of development of a hospital and an international airport in Haiti. 

·    Represented largest bank in Brazil in several U.S. trade financings, letter of credit backed financings and secured and unsecured bilateral and syndicated credit facilities. 

·    Represented U.K. bank in Latin American syndicated credit facilities. 

·    Represented Japanese automaker in asset-backed securitization of auto loans, arranged by a French bank.

·    Represented Tokyo Stock Exchange-traded Japanese small business lender in first ever asset-backed securitization of Japanese small business loans, arranged by U.K. bank and guaranteed by U.S. guarantor.  

·    Represented Japanese bank in international bank syndicate in $1B oil rig project financing in Pakistan. 

 M&A:

·    Represents New York based holding company in acquisition of a Canadian mining company and joint venture with Canadian investment group. 

·    Represents Florida partnership in purchase of beauty salon in Miami.

·    Represents Florida partnership in start-up of medical billing service in Miami.

·    Represented Florida Latin internet service provider in sale of assets to Spanish internet service provider.

·    Negotiated acquisition of Lincoln Road restaurant on behalf of Singapore purchaser.

·    Negotiated buy-out of Japanese sushi restaurant chain by minority partner.

Securities Offerings/Compliance:

·    Advises New York based holding company in private placements under Regulation D. 

·    Advises New York based holding company in mining joint venture with Canadian investment group to make initial public offering in Canada in 2008 and in US in 2009

·    Represented NYSE-traded Brazilian telecom in ’34 Act reporting requirements, including 20-F and 6-K reporting. 

·    Advised OTC-traded mining company on removal of “caveat emptor” status.

Real Estate

·    Advise purchasers for Miami Beach hotel acquisitions

·    Represents owners of $50M resort development in Haiti.  Conducted programming and feasibility analysis; drafted business plan; negotiates project financing; interacts with Haitian government.  Advises on compliance with U.S. federal law, Florida and New York law.

·    Represents Japanese sushi chain in commercial lease negotiations for new stores.
