BIOGRAPHY OF
DAVID M. ZLOTCHEW, ESQ.
Mr. Zlotchew is an independent counsel to Coradin Law Group. Throughout
his 14 year legal career, Mr. Zlotchew has worked together with his clients
to develop innovative but always practical solutions to their complex
business needs.
Mr. Zlotchew has represented all manner of participants in private and
public offerings of debt, equity and hybrid securities, in business
combinations, tender offers, public reverse mergers and other acquisitions
and divestitures of securities and assets, as well as in matters of
corporations law, agency, fiduciary duties, Exchange Act reporting and
compliance with Sarbanes-Oxley regulations and exchange rules.
Mr. Zlotchew began his career at Kramer Levin Naftalis & Frankel, LLP, a
full-service New York City based law firm with over 300 attorneys, where he
spent over 10 years in the corporate department. In May 2007 Mr. Zlotchew
left Kramer Levin and, prior to setting up his own practice
in 2009, was Of Counsel to Haynes and Boone, LLP, a full-service
international law firm with over 500 attorneys in 11 offices.
Selected Client Representations:
- Comprehensive representation of public medical device maker, assisting
in such matters as periodic reporting, proxy and information statements,
venture capital, IPO and follow-on financings, AMEX delisting defense,
corporate governance and miscellaneous contractual matters.
- Soup-to-nuts representation of privately held electronic trading
software provider. Counseled client on wide variety of legal matters
from entity selection and formation, through several rounds of
financing, until the ultimate nine-figure sale of the business for cash.
- Represented various companies in reverse acquisitions of public
shells and related PIPE financing transactions, known as Alternative
Public Offerings.
- Represented companies in various industries in private placements
ranging from less than $1 million to more than $50 million.
- Represented private telecommunications company in merger with
another distressed company in the same industry and the related
consensual restructuring of $120 million of debt.
- Represented company in establishing oil and gas drilling programs
and the private financing of such programs through the sale of
partnership interests.
- Represented executive in the establishment and early termination of
$19.5 million management services and co-investment arrangements.
